Consultancies

Introduction
​
These Terms and Conditions (“Agreement”) govern the provision of consultancy services by Wild Bahamas Group of Companies Ltd. (“Wild Bahamas”) to the Client (“Client”) under any consultancy agreement or arrangement between the parties.

1. Definitions
​
1.1 Consultancy Services
​
a. Refers to the professional services provided by Wild Bahamas, including but not limited to advisory, technical, or project-based work as specified in the Scope of Work (SoW) agreed upon between Wild Bahamas and the Client.
1.2 Client
​​
a. The individual or entity receiving the consultancy services from Wild Bahamas.
1.3 Consultant
a. Any individual or entity assigned by Wild Bahamas to provide the agreed consultancy services.
1.4 Scope of Work (SoW)
a. The document outlining the specific tasks, deliverables, timelines, and fees for the consultancy services.
1.5 Confidential Information
a. All non-public information disclosed between the parties during the term of the consultancy that is designated as confidential or that would reasonably be understood to be confidential.

2. Engagement of Services
​
a. The Client agrees to engage Wild Bahamas to provide consultancy services as specified in the Scope of Work.
​
b. The Scope of Work will be mutually agreed upon by the parties before commencement and will include the deliverables, timeline, fees, and any additional terms specific to the project.
​
c. Wild Bahamas shall provide qualified consultants to perform the services with due care, skill, and diligence, in accordance with industry standards.
​
d. In the event that Wild Bahamas determines that it lacks sufficient internal manpower to fulfill the Client's requested services in a timely or efficient manner, Wild Bahamas reserves the right to engage qualified third-party personnel, subcontractors, or independent contractors to perform all or part of the services under this Agreement. Such third-party personnel shall operate under the direction and supervision of Wild Bahamas, and Wild Bahamas shall remain fully responsible for the quality and timely delivery of the services provided. The Client acknowledges and agrees to this arrangement and shall not unreasonably withhold consent to the engagement of such third-party personnel.

3. Fees and Payment
​
a. The fees for the consultancy services will be specified in the Scope of Work.
​
b. A mobilization deposit of 50% of the total project cost is required before the commencement of any service unless otherwise specified between Wild Bahamas and the Client
​
c. Invoices will be issued upon completion of deliverables, or as per the payment schedule outlined in the Scope of Work. Value Added Tax (VAT) is not included in this fee proposal and will be charged where applicable.
​
d. All fees are quoted in Bahamian Dollars (BSD) and are exclusive of any taxes. Payments must be made in respect of the services rendered and without any deduction. All payments must be made in the currency specified in the invoice unless otherwise agreed in writing.
e. Payments made in currencies other than quoted in the invoice or agreed upon in writing will incur an additional 5% fee to cover foreign exchange expenses, bank charges, and administrative fees.

d. Payment is due within twenty-five (25) business days of receipt of the invoice unless otherwise stated in the Scope of Work.
​
e. Late payments may incur interest at a rate of 5% per month.
​
4. Refunds
​
4.1. Mobilization Fee Refunds
​
a. Except as provided in Section 10, if, for any reason, Wild Bahamas is unable to mobilize to the client's site to conduct the work as outlined in the agreed Scope of Works after the mobilization fee has been received, Wild Bahamas will provide a written notice to the client and issue a full refund of the mobilization fee at no cost to the client.
Refunds will be processed using the original payment method on file within fourteen (14) business days of confirming our inability to proceed with the Scope of Works.
Please note that this policy only applies prior to the commencement of the Scope of Works. Once work has begun on-site, standard cancellation and refund terms outlined in the service agreement will apply.
4.2. Client-Initiated Cancellations

a. If a client decides to cancel a project after the mobilization fee payment has been made, the following conditions will apply:
i. Cancellation Notice – 14 Business Days or More Before Start Date:
If the client notifies Wild Bahamas of their decision to cancel at least fourteen (14) business days prior to the scheduled commencement of work, a refund minus a 15% administrative fee will be issued.

ii. Cancellation Notice – Less Than 14 Business Days Before Start Date:
If the client notifies Wild Bahamas less than fourteen (14) business days before the scheduled start date, no refund will be issued.
​
Refunds (where applicable) will be processed using the original payment method on file within fourteen (14) business days of the cancellation confirmation.
​
5. Expenses
​
a. Wild Bahamas will be entitled to reimbursement by the Client for reasonable and documented expenses incurred in the provision of consultancy services, such as travel and transportation, accommodations, meals, equipment and materials unless otherwise stated in the Scope of Work.
​
b. All expenses will be itemized and included in the invoice provided to the Client.
​
6. Confidentiality
​
a. Both parties agree to maintain the confidentiality of all confidential information disclosed during the term of the consultancy.
​
b. Confidential information will not be disclosed to third parties without prior written consent from the disclosing party, except as required by law or to consultants and employees on a need-to-know basis.
​
c. This confidentiality obligation shall survive the termination or expiration of the Agreement.
​7. Intellectual Property
​
a. Any deliverables produced by Wild Bahamas during the consultancy engagement, shall become the property of the Client upon full payment of all fees, unless otherwise specified in the Scope of Work.
b. Wild Bahamas retains ownership of all intellectual property rights in any methodologies, frameworks, or tools developed prior to or outside the scope of the consultancy but grants the Client a non-exclusive, non-transferable license to use any such intellectual property solely for internal purposes.

​8. Termination
​
a. Either party may terminate the Agreement by providing thirty (30) business days written notice to the other party.
b. Wild Bahamas may terminate the Agreement immediately if the Client breaches any material term of this Agreement or fails to make timely payments.
c. Upon termination, the Client will pay Wild Bahamas for all services rendered and any reimbursable expenses incurred up to the date of termination.
d. The Client may terminate for cause if Wild Bahamas fails to remedy a material breach within thirty (30) business days of receiving written notice from the Client.

​9. Liability and Indemnification
​
a. Wild Bahamas will provide consultancy services with due care and diligence but does not guarantee any particular outcome or result unless expressly stated in the Scope of Work.
b. The Client agrees to indemnify and hold Wild Bahamas harmless from any and all claims, damages, or liabilities arising from the Client’s use of the consultancy services, except in cases of Wild Bahamas' gross negligence or willful misconduct.
c. In no event will Wild Bahamas' liability exceed the total amount paid by the Client under the applicable Scope of Work.
10. Force Majeure
​
a. Neither party will be liable for any failure or delay in performing its obligations under this Agreement due to events beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, strikes, or government actions.
​
b. In the event that either party is prevented, hindered, or delayed in the performance of its obligations due to a force majeure event, such party shall provide written notice to the other party as soon as reasonably practicable, detailing the nature, cause, the expected duration and anticipated impact of the event on its ability to perform its obligations under the Agreement.
c. If a force majeure event continues for more than sixty (60) business days, either party may terminate this Agreement by providing written notice to the other.

​11. Governing Law and Dispute Resolution
​
a. The Agreement shall be governed by and construed in accordance with the laws of The Commonwealth of The Bahamas.
b. Any disputes arising out of or in connection with the Agreement will be resolved through good-faith negotiations. If the dispute cannot be resolved, the parties agree to submit the dispute to mediation or arbitration, as mutually agreed.
c. The parties agree that any legal action related to the Agreement will be brought exclusively in the courts of The Commonwealth of The Bahamas.
12. Miscellaneous

12.1 Amendments
​
a. Any modifications or amendments to the Agreement must be made in writing and signed by both parties.
12.2 Entire Agreement
a. The Agreement, together with any applicable Scope of Work, constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

12.3 Assignment
​
a. Neither party may assign its rights or obligations under the Agreement without the prior written consent of the other party.
12.4 Severability
​
a. If any provision of the Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
12.5 Notices
​
a. Any notices required under the Agreement must be delivered in writing to the addresses specified by the parties in the Scope of Work.
